SKEMER EASY TALK (SET)

TERMS AND CONDITIONS FOR INDEPENDENT PROMOTERS

Having known about SKEMER GLOBAL CONCEPT’s business improvement product called SKEMER EASY TALK , and having paid the application fee, I now agree and accept that the terms and conditions guiding the use of SKEMER EASY TALK , to govern my application as follow:

1)      The client (hereinafter called the ‘Independent promoter’) has applied for a contract from SKEMER GLOBAL CONCEPT (hereinafter called the ‘company) to use the company’s product- SKEMER EASY TALK (hereinafter called the ‘SET’), and that this application does not make him/her a staff, agent ,partner, or representative of the company but an independent client with contract,

2)      The independent promoter agree to use SET by referring client(s) to patronize either his/her business or the company and/or independent senior promoter’s business.

3)      The Independent promoter agrees to explain the purpose of SET to his/her client(s) who is/are interested in the company’s contract.

4)      The Independent promoter agrees that he/she shall be rewarded based on the number of referrals he/she has carried out.

5)      The Independent promoter agrees to make payment through the bank approved by SKEMER GLOBAL CONCEPT,and that the company shall not be liable whatsoever for cash and/or bank deposit slip given to independent senior promoter, independent promoter, staff, agent, associate, or anybody.

6)      The Independent promoter agrees that he/she shall not demand and/or collect any cash from his/her prospect(s) for the purpose of SET application fee, except cash for company’s advert materials.

7)      The Independent promoter agrees to purchase and use the company’s advert materials at discounted price from the company and/or independent senior promoter.

8)      The independent promoter may attend the company’s programme(s) designed to increase patronage to either his/her business or the company and/or independent senior promoters business.

9)      The Independent promoter agrees that any applicant for SET who is less than 18 years of age shall be disqualified and shall have full refund of his/her application fee, and this shall not be counted as referral to the independent promoter and/or independent senior promoter.

10)  The independent promoter agrees that he/she shall be rewarded based on the number of referrals he/she has introduced to the company, who applied for a contract, which tallies with the choice code of the SET variety chart,

11)  The fiscal week end is Tuesday of any/every week, and the independent promoter shall round off his/her referrals on any of the Tuesday of any week, and shall communicate his/her readiness to collect his/her choice of item(s) on the SET variety chart.

12)  The independent promoter shall text the following on any fiscal weekend if he/she is ready to collect his/her choice of item(s) on the SET variety chart;

a)      SET application number,

b)      Choice code of SET variety chart.

13)  The Independent promoter shall come with his/her bank deposit slip and, at least an invoice/receipt of purchase on the day of collection of his/her choice of item(s) on the SET variety chart.

14)  The company shall not award item(s) on SET variety chart to the independent promoter if;

a)      the independent promoter is less than 18 years of age,

b)      the independent  promoter could not tender his/her bank deposit slip and invoice/receipt of patronage,

c)      the bank deposit slip look suspicious ( the company reserve the right to demand for other means of identification.).

15)  The independent promoter shall not pay or be asked to pay, any additional fee after paying his/her application fee before receiving item(s) on the SET variety chart.

16)  The independent promoter agrees and accept that brands/colour of item(s) in company’s advert materials/SET variety chart may differ from actual brands/colour of item(s) awarded, and that in the event that his/her choice of item(s) on the SET variety chart is/are not available, the company shall be bound to give the monetary equivalent in cheque.

17)  The independent promoter agree & accept that monetary equivalent in the SET VARIETY CHART shall be paid to him/her in cheque.

18)  Where any independent promoter write a notice to terminate his/her contract within seven (7) days after signing the application form, the independent promoters is entitled to obtain from the company repayment after twenty one (21) days of such written notice.

19)  In the case of death of an independent promoter, a named beneficiary will take over all rights, benefits and responsibilities attributable to the deceased. If the named beneficiary is below eighteen (18) years of age, the company shall direct the running of the deceased contract on behalf of the beneficiary till he/she reaches the age of eighteen (18) years.

20)  The independent promoter shall report promptly to the company any complication(s) in his/her group through the established channel of communication.

21)  The company shall not transfer the rights, benefits and responsibilities of a living independent promoter to another person.

22)  The company shall not transfer the rights, benefits and responsibilities to a named beneficiary without necessary valid document(s).

23)  The company shall be responsible in awarding item(s) chosen by the independent promoter from the SET VARIETY CHART,

24)  The company shall be entitled to terminate this contract if;

a)      the information supplied by the independent promoter in his/her application form contains any falsehood,

b)      the independent promoter is inactive within ninety (90) days of his application,

c)      the independent promoter is involved in fraudulent activities relating to other independent promoter(s) and/or the company,

d)      the independent promoter conducts his/her referral(s) relating to SET in a manner which tarnishes the image of the company, SET and/or other promoter(s),

e)      the independent promoter breaches any of the terms and conditions set out in this contract,

f)       the independent promoter applies unethical and contrary means/ways which negates the terms and conditions set out in this contract,

g)      the independent promoter fail to remedy the breach of any of the terms and conditions guiding his/her contract with the company within a grace period of seven (7) days after having been called upon to do so.

25)  The independent promoter shall free the company from any responsibility for any loss of funds deposited in favour of the company for the purpose of SET due to civil unrest, war, or any future government order, law, levy, tax, embargo, moratorium, restriction and/or other causes beyond the company’s control.

26)  The independent promoter shall indemnify the company against any loss, expenses and damages it may sustain through the breach of this contract.

27)  The independent promoter agrees and accept that his/her signature on the SET application form is an indication that he/she has read, understood, considered the terms and conditions guiding his/her contract with the company with regard to the use of SET, and has agreed conscientiously that there was no form of inducement whatsoever, other than by normal business consideration to enter into this contractual agreement.

28)  The independent promoter agrees that the company is vested with the sole right to improve, change, add, alter SET and the terms and conditions involved, and that he/she shall be notified/communicated to, before the emergence of such change whatsoever.

29)  The independent promoter agrees and accept that picture(s)/video of the Award event shall be fielded by the company on magazine(s),  newspaper(s), Television programmes, DVD(s)/VCD(s), Internet and/or Posters for record keeping and/or to show the genuineness/business scheme/clarity of our company/products (SET), and that the company shall not be misconstrued and/or liable whatsoever to have used his/her image for advertisement.

30)  The independent promoter agrees that the company’s decision is final in all matters relating to SET.

31)  This agreement shall be interpreted in accordance with the laws of the federal republic of Nigeria.
